
The Uniform Commercial Code (UCC) is a model code intended to standardize and facilitate commerce. A version has been adopted in all 50 states, with some variations. Its articles cover areas such as sales, leases, negotiable instruments, funds transfers, letters of credit, documents of title, investment securities, and secured transactions.
Article 2, which governs sales of goods, contains a Statute of Frauds that requires that contracts for the sale of goods priced at $500 or more be in writing, reasonably identify the subject matter, show that a contract exists, state the essential terms, and be signed by the party to be charged.
